1. HOW TO ENTER: NO PURCHASE NECESSARY. Create a video (maximum 3 minutes in length and a maximum file size of 1024MB) that
depicts a story of an "Oreo and Milk Moment" (can be real or fictional). The video can show any or all of the following:
how the simple act of sharing Oreo cookies and milk can be enjoyed by anyone, anywhere; how the Oreo Cookie ritual of Twist, Lick
& Dunk makes an ordinary moment something special to remember; and/or how sharing Oreo moments connects generations of family. Refer to
the Oreo & Milk Moments videos posted on
YouTube.com/Oreo through August 11, 2008 for ideas on the intended content for the
videos. Videos must be uploaded to
YouTube.com/Oreo by 11:59 pm ET on August 11, 2008 to be eligible for consideration
in the contest. Entries will be declared made by the name on the YouTube account from which the entry was submitted.
Entry Requirements: All entries must meet the following guidelines:
- The entry must be the entrant's original work.
- Be respectful of the OREO Cookie. Submissions must include imagery of OREO Cookies and Milk. Animals should not consume the OREO Cookies in the video.
- One or more people of any age may be featured in the video, however entrant must have the permission to use the audio and visuals of everyone featured in the video in any and all media without compensation. If any person featured in the video is a minor, then the consent must be obtained from the minor's parent or guardian.
- Entrant must submit all required releases at Sponsor's request, including a release from all persons appearing in the video.
- Limit of one entry per person. Incomplete, illegible or corrupted entries will be disqualified. Kraft Foods Global, Inc. ("Sponsor") is not responsible
for lost, late, damaged, incomplete or misdirected entries. All entries become the property of the Sponsor and none will be returned.
- By submitting an entry, entrant agrees to have his/her entry posted on YouTube for the duration of the contest period.
- Content: Each entry must be suitable for display and publication, in all forms of media, including but
not limited to the internet, the World Wide Web, print, radio, and network, cable or satellite television broadcast. Entries must be dignified,
modest and in good taste, must not be obscene or indecent, including but not limited to containing pornography or profanity, nor contain any
offensive or defamatory statements including but not limited to words or symbols that might be considered offensive to individuals of any
race, ethnicity, religion, sexual orientation or socioeconomic group, nor include threats to any person, place, business, or group, nor
invade privacy or other rights of any person, firm or entity, including, without limitation, any third party trademarks or copyrights,
nor portray Sponsor or Sponsor's brands or products in any way that might tend to subject any of them to public contempt, scandal, disrepute
or ridicule. Sponsor reserves the right to make determinations of suitability in its sole and absolute discretion, and to disqualify
any entries it determines to be inappropriate for any of the reasons listed above, or for any other reason.
2. WINNER SELECTION: The winner will be selected from among all countries' eligible entry submissions. Entries will be judged by
a panel of experts under the supervision of an independent judging organization ("Judges"), whose decisions are final in all matters
relating to the Contest. Entries will be judged on the following criteria: Originality (1 - 25 points), Creativity (1 - 25 points),
Positive Brand Imagery (1 - 25 points); and Depiction of Theme defined as "Tell a story of an OREO & Milk Moment" (1 to 25 points).
In the event of a tie, tied entries will be re-judged on the basis of Depiction of Theme (100%). The top highest scoring entry will
be the Grand Prize winner. Upon determination of the Grand Prize winning video, the Grand Prize entrant will need to submit
his/her winning video in hard copy in a high res format on DVD at the Sponsor's request by Sponsor designated date prior to
August 26, 2008 in order to have the winning video featured on the YouTube Home Page.
3. GENERAL RULES: Open only to residents of the 50 United States and D.C., United Kingdom, Ireland, Peru, Ecuador, Columbia,
and Malaysia who are 18 years or older as of June 19, 2008, and residents of Canada (excluding the province of Quebec) who have reached
the age of majority in their province or territory of residence as of June 19, 2008, except for employees of Kraft Foods Global, Inc.
("Sponsor"), Judges, their affiliates, subsidiaries and agencies (collectively "Promotion Parties"), and members
of their immediate family or persons living in the same household. Void in Quebec and where prohibited. Subject to all applicable
federal, state, local, and provincial laws. Potential winner will be notified by telephone, email and/or mail and must sign any
required Affidavit and Release within three (3) days of attempted delivery or prize will be forfeited. If any prize/prize notification
is returned as undeliverable, or in the event of non-compliance with any other requirements, the prize will be forfeited in its
entirety and awarded to an alternate. No substitution or transfer of prize permitted except at the option of Sponsor in the event
of unavailability. By participating, entrants agree to abide by and be bound by these Official Terms of Participation and the
decisions of the Judges.
In the event of a dispute as to identity of an online entrant, entries will be deemed made by the name appearing on the entry. Sponsor,
Youtube, Inc., and Promotions.com LLC (collectively, "Contest Entities") are not responsible for technical, hardware or
software malfunctions, lost or unavailable network connections, undeliverable email, or failed, incorrect, inaccurate,
incomplete, garbled or delayed electronic communications, telephone, telephone line or other telephone related problems
or errors, whether caused by the sender or by any of the equipment or programming associated with or utilized in this
Contest, or by any human error which may occur in the processing of the entries in this Contest. If, in the Judges'
opinion, there is any suspected or actual evidence of tampering with any portion of the Contest, or if technical difficulties
compromise the integrity of the Contest, the Judges reserve the right to terminate the Contest and determine a winner
using all eligible entries received as of the date of termination or to modify the Contest in a manner deemed appropriate by the Judges.
4. PRIZE: One (1) Grand Prize: Winner's video will be featured on the YouTube Home Page on or about August 26, 2008.
5. RIGHTS IN SUBMISSIONS: In consideration of entrant's submission being reviewed and evaluated for this Contest, each entrant hereby
grants to the Sponsor and YouTube a non-exclusive, irrevocable, fully paid, universal license to use, copy, sublicense, transmit, distribute,
publicly perform, publish, delete or display such submission, or any portion thereof, in any media now known or hereafter devised including,
but not limited to, all forms of television and all forms of internet and wireless protocol without any further right of approval. Each Entrant
authorizes the Sponsor and YouTube and any entities affiliated or in privity with the Sponsor and YouTube, to utilize, for eternity and in any
manner they see fit, the submission submitted to Sponsor and YouTube, and to make derivative works from such material. Each entrant agrees that
the results and proceeds of such use shall become the property of Sponsor and/or Sponsor's licensees, and shall be freely assignable by Sponsor
and that the Contest Entities and their assignees and licensees shall have no obligations whatsoever to entrant. Each Entrant releases the
Contest Entities, and their assignees and licensees, from any and all claims or liability (now known or hereafter arising), including but
not limited to any claims for defense and/or indemnity, in connection therewith. Each entrant also grants permission for the Contest
Entities to use entrant's name and likeness, for the purpose of advertising, trade, or promotion without further notice, permission,
compensation or consideration in any and all media, unless prohibited by law.

7. PRIVACY POLICY: Any personal information supplied by you to YouTube will be subject to YouTube's privacy policy posted at
http://www.youtube.com/t/privacy. Unless prohibited by YouTube's privacy
policy or by law, by entering the Contest, you grant YouTube permission to share your email address and any other personally identifiable
information with the other Contest Entities for the purpose of Contest administration, judging and prize fulfillment. Additionally, by
opting-in to specific offers from Sponsor, entrant's entry information will be subject to their respective privacy policies and terms
of service and entrant agrees to receive additional email communication from that company. YouTube will not sell, rent, transfer or
otherwise disclose your personal data to any third party other than as explicitly described herein.
